We are pleased to be able to report that the Annual General Meeting of BASO ~ The Association for Cancer Surgery passed the two motions put to it in relation to the future set up of the Associations.
A period of considerable consultation and a due diligence exercise had been carried out in advance of the AGM. The two motions put to the meeting were:
1) To agree to the separation of the two associations, their separate incorporation and the establishment of a service agreement between the two associations to manage the administration and membership arrangements
2) To agree to the incorporation of BASO ~ ACS and its Articles of Association
Having secured the membership’s consent we will now be making applications on behalf of BASO ~ The Association for Cancer Surgery and the Association of Breast Surgery to both Companies House and the Charity Commission. It is hoped that BASO ~ ACS’ status will have been changed and an independent ABS will have been set up by the 1st July 2010. If this is the case then at this time the transfer agreement between BASO ~ ACS (as an unincorporated association) and each of BASO ~ ACS and the ABS (in their incorporated form) and the service agreement will be entered into contemporaneously and the unincorporated form of BASO ~ ACS will be wound up.
For the time being there will be no changes to your membership. It is intended that in the 2010 – 2011 subscription year that members will have to pay no additional fee to remain a member of both Associations. In the following year there will be an additional fee to be a member of both Associations but this is likely to be a small administration charge.
As the applications progress we will be keeping the membership informed of the changes in the structure to the Associations. We will also be contacting the membership in the second half of this year about their future membership requirements. There will be no changes to how the office works and it will continue to administer both Associations as it currently does.
